                   A RESOLUTION AUTHORIZING THE INCORPORATORS 
                   TO PROCEED WITH THE INCORPORATION OF THE 
                   STADIUM CORPORATION AND TO DRAFT BYLAWS FOR 
                   SUBMITTAL TO THE CITY COUNCIL.

       	    	 BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF 
       CHATTANOOGA, TENNESSEE, That the incorporators be and are hereby 
       authorized to proceed with the incorporation of the Stadium 
       Corporation and to draft bylaws for submittal to the City Council.
